B2B TERMS FOR INSTALLMENT PAYMENTS

1. Scope

These terms apply to purchases from Mesoskinline ApS, CVR 39967065, including the company’s registered secondary names PMU-line and Dermatech-Group, where the Buyer has chosen or has been offered payment of the purchase price in installments.

These terms apply to all goods and services offered with installment payments, including products, equipment, courses, training programs and other business-related services.

These terms supplement Mesoskinline ApS’ general B2B terms and conditions of sale. In the event of any conflict, these terms shall take precedence insofar as they relate to the installment payment arrangement and payment thereof.

2. Business Purchase – B2B

The webshop and the installment payment arrangement are intended exclusively for business-related purchases.

By entering into the agreement, the Buyer confirms that the purchase is made primarily as part of the Buyer’s existing or planned business activities, including the establishment of a business, professional training, skills development or other business activities.

It is not a requirement for entering into the agreement that the Buyer has already been assigned a CVR number.

If the Buyer has not yet established or registered their business, the agreement is entered into by the Buyer personally as a business purchaser in the process of establishing a business. In this case, the Buyer shall be personally liable for all payment obligations under the agreement.

If the Buyer is acting on behalf of an already registered business, the person completing the purchase confirms that they are duly authorized to enter into the agreement on behalf of that business.

The subsequent establishment or restructuring of a business, including the establishment of a limited liability company or other legal entity, does not automatically transfer the existing payment obligation to that entity. Any substitution of debtor requires the written approval of Mesoskinline ApS.

If, notwithstanding the above, the Buyer is deemed to be a consumer under mandatory applicable law, the mandatory provisions applicable to the relevant agreement shall apply.

3. Formation of the Agreement

When the Buyer completes an order and accepts Mesoskinline ApS’ B2B terms and conditions as well as these installment payment terms, a binding purchase agreement is entered into.

The installment payment arrangement is solely an agreement regarding when and how the total purchase price is paid and does not alter the total price or the underlying purchase agreement.

The specific order and payment schedule are set out in the order confirmation, payment notice and/or payment schedule made available to the Buyer.

4. Payment Schedule

Before the installment payment arrangement is accepted, the Buyer is informed of the total purchase price and the agreed payment schedule.

The payment schedule specifies, among other things, the number of installments, the amount of each installment and the individual due dates.

The payment schedule forms an integral part of the purchase agreement.

The Buyer is obliged to pay all installments on the agreed due dates.

5. Registration of Payment Card

As a condition of the installment payment arrangement, Mesoskinline ApS may require the Buyer to register a valid payment card with the payment service provider used by Mesoskinline ApS.

The payment card may be a business card or a personal payment card.

The person registering the card confirms that they are the cardholder or are otherwise authorized to use the card for payment under the relevant agreement.

Card details are processed via the secure payment solution provided by the payment service provider. Mesoskinline ApS does not store the card’s CVC/CVV security code.

Registration of the payment card and authorization for future automatic card charges shall be accepted separately in connection with registration of the card.

6. Automatic Payment of Installments

When registering the payment card, the Buyer separately authorizes Mesoskinline ApS to automatically initiate payment of the agreed installments using the registered payment card.

Automatic card charges may only be made in relation to the specific order and in accordance with the payment schedule accepted by the Buyer.

The authorization does not apply to other or future purchases.

Mesoskinline ApS may not, on the basis of the original card authorization, charge amounts other than or greater than those stated in the accepted payment schedule.

If the payment schedule is amended in a manner that results in higher amounts, additional installments or other material changes to the payment obligation, the amended payment schedule must be accepted by the Buyer.

7. Payment on the Due Date

On each agreed due date, Mesoskinline ApS or the company’s payment service provider will automatically attempt to process the relevant payment using the registered payment card.

The Buyer is responsible for ensuring that the payment card remains valid and that payment can be processed.

The Buyer must ensure that a valid payment method is registered throughout the entire installment payment period.

8. Declined Card Payments

If a payment cannot be processed on the agreed due date, for example due to insufficient funds, an expired card, a blocked card or another refusal by the card issuer, the relevant installment shall remain due and payable.

Provided that the Buyer has not revoked the card authorization, the Buyer accepts that the same overdue installment may be retried up to 2 additional times within 10 days of the original due date.

Mesoskinline ApS may also request that the Buyer register a new payment card or pay the overdue amount via payment link, bank transfer or another designated payment method.

A declined card payment does not alter the Buyer’s payment obligation.

9. Changed or Expired Payment Card

If the payment card expires, is blocked, replaced or otherwise becomes unusable, the Buyer must, without undue delay, register a new payment card or contact Mesoskinline ApS to arrange another payment method.

Registration of a new card does not alter the agreed payment schedule or the total payment obligation.

10. Revocation of Authorization for Card Charges

The Buyer may at any time revoke the authorization for future automatic card charges by contacting Mesoskinline ApS in writing.

Such revocation applies only to the right to make future charges to the registered payment card.

Revocation does not in itself terminate or cancel the underlying purchase agreement, the installment payment agreement or the existing payment obligation.

The remaining installments must therefore continue to be paid on the originally agreed due dates by bank transfer or another payment method designated by Mesoskinline ApS.

This distinction between the card authorization and the underlying contractual relationship also follows from the Danish Consumer Ombudsman’s guidance on payment agreements.

11. Non-Payment and Default

If an installment is not paid on time, this constitutes payment default.

Mesoskinline ApS may issue payment reminders and charge default interest, reminder fees and any collection costs to the extent permitted under the agreement and applicable Danish law.

If an overdue installment remains unpaid following written demand and expiry of the payment deadline specified in that demand, Mesoskinline ApS may, in the event of material breach, terminate the agreed installment payment arrangement and demand payment of the remaining unpaid balance.

The remaining balance may not automatically be charged to the registered payment card unless the Buyer has separately authorized such a charge.

Failure to pay, blocking of the payment card or revocation of the card authorization does not release the Buyer from the underlying payment obligation.

12. Courses and Training Programs

For purchases of courses or training programs under an installment payment arrangement, the installment arrangement changes only the method of payment.

Cancellation, failure to attend, non-participation, discontinuation of the training program or the Buyer’s decision not to complete the training program does not in itself release the Buyer from the payment obligation.

Rules regarding cancellation, illness, changes to course dates, transfer to another class, cancellation of the course or other matters relating to the training program are governed by Mesoskinline ApS’ general B2B course and purchase terms.

Where stated in the terms applicable to the relevant training program, a final course or training certificate will only be issued once the professional requirements of the training have been fulfilled and full payment has been received.

13. Products and Equipment

For products and equipment sold under an installment payment arrangement, the Buyer remains obliged to pay the full agreed purchase price even if the product has been delivered before the final installment becomes due.

Mesoskinline ApS retains title to products and equipment sold on installment until the full purchase price has been paid, to the extent that such retention of title is valid and enforceable under applicable Danish law.

The retention of title applies in particular for as long as the item can still be identified as the delivered item and remains in the Buyer’s possession.

Any rights of complaint or warranty available to the Buyer are governed by Mesoskinline ApS’ general B2B terms and conditions and Danish law.

14. Installment Payments Do Not Provide a Separate Right of Cancellation

Choosing installment payments does not give the Buyer any separate right to withdraw from, terminate or cancel the purchase.

Any right to cancel, return, terminate or otherwise cancel the agreement shall be determined in accordance with the underlying purchase agreement, Mesoskinline ApS’ other B2B terms and conditions and applicable law.

15. Chargebacks and Reversals

If a card payment that has already been completed is subsequently reversed by the card issuer, payment service provider or bank, such reversal does not in itself extinguish the underlying payment obligation.

If Mesoskinline ApS continues to have a valid claim under the purchase agreement, the outstanding amount may be claimed by another payment method.

16. Documentation of the Agreement

For the purpose of documenting the conclusion of the agreement and administering the installment payment arrangement, Mesoskinline ApS may record and retain relevant information about the Buyer and the agreement, including name, contact details, company name and CVR number where applicable, declaration of business purpose, order number, purchased goods or services, payment schedule, time of acceptance, version of the accepted terms, payment status and details of completed and declined payment attempts.

The full payment card details and CVC/CVV must be handled by the payment service provider used and must not be stored by Mesoskinline ApS.

Personal data is processed in accordance with Mesoskinline ApS’ Privacy Policy and applicable data protection legislation.

17. Amendment of the Payment Schedule

A payment schedule may only be amended by agreement between Mesoskinline ApS and the Buyer.

The amended payment schedule shall thereafter replace the previous payment schedule for the relevant order.

If the amendment also results in changes to the automatic card payments, the Buyer’s payment authorization must be updated or renewed to the extent required.

18. Governing Law and Jurisdiction

The agreement is governed by Danish law.

Any disputes shall be handled in accordance with the provisions concerning governing law and jurisdiction set out in Mesoskinline ApS’ general B2B terms and conditions, unless mandatory legislation provides otherwise.
